01The agreement
This is an agreement between you and Greenup Studios (“Greenup”, “we”, “us”), an independent music distribution company and recording studio in Miami Lakes, Florida. It covers greenupdistro.com, the Greenup Studios app for iPhone and Android, the link pages we host, and every tool and service inside them (together, “the service”).
Music distribution itself is governed by your separate distribution agreement with Greenup. If these terms and your distribution agreement ever conflict about distribution, royalties or masters, the distribution agreement wins. Our Privacy Policy explains how we handle your information and is part of these terms.
02Who can use it
- You must be at least 13 years old to create an account.
- If you are under 18, a parent or guardian must agree to these terms for you and must approve any purchase and any agreement you sign in the service, including split sheets.
- The information you give us, including your name, date of birth and contact details, must be true and kept up to date.
03Your account
- Keep your password private. You are responsible for everything that happens in your account, so tell us right away if you think someone else is using it.
- One account per person. Don’t share, sell or transfer it.
- We may suspend or close an account that breaks these terms, after telling you why when we reasonably can.
- You can delete your account any time from the app (Account, then Delete account) or by emailing us. Section 12 explains what happens then.
04What we offer
- Artist tools in the app: split sheets, a link page generator, a cover art resizer, release checklists and caption ideas. Most are free with an account.
- The ads service: paid promotion of your song or music video on Instagram, Facebook and YouTube, set up and run by us (Section 6).
- The royalties portal: your releases, statements and catalog, opened from the app through the Greenup distribution portal.
- Distribution under your separate distribution agreement.
We can add, change or retire features. If we retire something you paid for, we will refund the unused part.
05Split sheets
- A split sheet is an agreement between the people named on it about who owns what share of a song. Greenup is the tool, not a party to that agreement.
- You are responsible for the accuracy of the names, email addresses and percentages you enter, and for having each person’s permission to invite them. Percentages should add up to 100.
- By signing a split sheet in the app or on the web, you agree to sign electronically and that your electronic signature has the same effect as a handwritten one under the U.S. ESIGN Act and similar laws.
- We keep the signed PDF and an audit trail (who signed, when, from which IP address and device) so the record stays valid for everyone on it, even if one person later deletes their account.
- The tool is not legal advice and Greenup is not a law firm. If a lot is riding on a song, have a lawyer look at the sheet.
06The ads service
- You choose what to promote (a song or a music video), the platform, the budget and the length. We set up and run the campaign on Instagram, Facebook or YouTube using the advertising accounts we manage.
- The price is shown before you pay and includes both the money that goes to the platform and our fee for setting up and running the campaign.
- Results are not guaranteed. The reach, streams, views or followers shown in the app are estimates based on typical platform costs. Real results depend on the platforms, your music and your audience.
- You must own or have the rights to the music, video and images you promote, and the content must follow the advertising rules of the platform. The platforms may reject or stop an ad; if a campaign cannot run at all, we refund it in full.
- We may decline a campaign that we believe breaks platform rules or the law, and refund it in full.
- Cancellations are explained under Payments and refunds.
07Payments and refunds
- Payments are processed by Stripe in U.S. dollars. When you pay, you authorize the charge shown in the app.
- Before a campaign goes live, you can cancel for a full refund. Email us with the order number from your receipt.
- Once a campaign is running, the money already spent with the platform cannot be refunded. If you stop a campaign early, we refund any budget that has not been spent yet.
- If something went wrong on our side, email us first. We would rather fix it than have you dispute the charge.
- Prices may change; a change never affects a campaign you already paid for.
08Your content and your rights
You keep every right to your music, artwork, videos, names and everything else you bring to the service. Under your distribution agreement you keep your masters.
So that we can provide the service, you give us permission to store, copy, display and use your content only as needed to do what you asked for, such as showing your cover art on a link page, sending a split sheet to the people you named, or using your song link in an ad campaign. This permission ends when you delete the content or your account, except for records we must keep (Section 12).
You promise that your content is yours or properly licensed, that it doesn’t infringe anyone’s rights, and that it doesn’t break the law. We may remove content that does, and we may share it with the platforms and authorities when the law requires.
09Link pages
Link pages you create are public: anyone with the address can open them. You are responsible for what you put on them and where they lead. We may take down a page that is misleading, abusive, illegal or used for spam, and we may retire pages that have not been opened in a long time.
10Acceptable use
Don’t use the service to:
- upload or promote content you don’t have the rights to, or that is illegal, hateful, harassing or sexually explicit;
- scam, spam or mislead people, or send split sheets to people who did not agree to receive them;
- use someone else’s account, or try to access accounts, data or systems that aren’t yours;
- copy, scrape, reverse engineer or overload the service, or resell it as your own.
11Third-party services
Parts of the service depend on other companies: Stripe for payments, Revelator for the distribution portal, Meta and Google for ad campaigns, and Apple and Google for the app stores. Each has its own terms and privacy policy, and we don’t control them. Streaming services and social platforms decide their own rules and payouts.
12Ending things
- By you. Delete your account in the app or by email. We remove your profile, photo, sign-in and the split sheets you created. Split sheets other people sent you keep your name on them and lose the link to your account. Payment and campaign records stay with Stripe and our books for as long as tax law requires.
- By us. We may suspend or end your access if you break these terms, if the law requires it, or if we stop offering the service. Where we can, we tell you first. Money you paid for a service you did not receive is refunded.
- Your distribution agreement has its own end dates and stays in force on its own terms.
- Sections 8, 13, 14 and 15 keep applying after your account ends.
13Disclaimers
The service is provided “as is” and “as available”. We work hard to keep it up and accurate, but we don’t promise it will always be available, error-free or fit for a particular purpose, and we don’t promise any particular result from a campaign, a link page or a release. To the extent the law allows, we disclaim all warranties, express or implied.
14Limits on liability
To the extent the law allows, Greenup Studios is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or lost opportunities, arising from the service. Our total liability for any claim related to the service is limited to the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars if you paid nothing. Some places don’t allow these limits, so they may not fully apply to you.
15Governing law
These terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-law rules. Any dispute that we can’t settle by talking will be brought in the state or federal courts located in Miami-Dade County, Florida, and you agree to their jurisdiction. Either of us may use small-claims court instead where it applies.
16Changes
When we change these terms we update the date at the top. If a change is significant we will tell you in the app or by email before it takes effect. Using the service after a change means you accept the new terms.
